Liability for loss, damage, or delay shall not exceed the lesser of the invoiced value of the goods or £300 per shipment, unless otherwise agreed in writing.
Liability is strictly limited to direct loss; consequential or indirect losses (e.g., lost profits, missed deadlines) are excluded.
2. Third‑Party Deliveries
Where final delivery is performed by a third‑party carrier (e.g., DHL, DPD, Royal Mail), Adonai Logistics acts only as an agent.
Responsibility for loss, damage, or delay rests with the third‑party carrier under their own terms.
Claims must be directed to the carrier; Adonai Logistics will provide reasonable assistance but accepts no liability beyond its own handling.
3. Insurance
Customers are responsible for arranging adequate insurance coverage.
Shipments are not automatically insured unless expressly requested and paid for in advance.
High‑value items should be declared and insured prior to shipment.
4. Delivery Liability Clause
Liability for deliveries made directly to our office premises applies only if the customer furnishes proof of delivery.
Acceptable proof is visual evidence (photo or video) clearly showing the item delivered to our office.
Without such proof, Adonai Logistics shall not be held responsible for alleged non‑delivery or loss.
5. Claims Procedure
All claims must be submitted in writing within 24 hours of delivery.
Claims must be supported by evidence (delivery notes, photos, invoices).
Failure to comply releases the company from liability.
6. Force Majeure
The company is not liable for delays or losses caused by events beyond its control (strikes, weather, accidents, customs delays, airline delays).
7. Payment Terms
Invoices are payable upon receipt.
Non‑payment may result in suspension of services and additional charges.
If payment is not made within 2 weeks of arrival, items may be sold to recover costs at the company’s discretion.
8. Storage and Holding Period
Customers must collect items within 1 week of arrival.
Items not collected will incur demurrage of ₦3,000/day from the second week.
Items uncollected after 4 weeks may be disposed of unless otherwise agreed in writing.
9. Lien and Disposal
Adonai Logistics reserves a possessory lien over all goods until charges are paid in full.
If payment is not received within 14 days of written notice (to last known address/email), goods may be sold by public auction or private treaty.
Proceeds will first cover unpaid charges, storage, and sale costs. Surplus will be returned to the customer; if insufficient, the customer remains liable for the shortfall.
10. Data Protection
Personal data is processed in accordance with the Nigeria Data Protection Act 2023 and UK GDPR (where applicable).
Data will only be used for delivery, billing, customs clearance, and customer service.
Data will not be shared with third parties except carriers, customs agents, or as required by law.
11. Jurisdiction
These terms are governed by the laws of the Federal Republic of Nigeria.
For UK customers, UK GDPR provisions apply under the Data Protection clause.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria.
12. Acceptance of Terms
Delivery of items to any Adonai Logistics office constitutes acceptance of these Terms & Conditions.
